Terms of Service for FreshXchange Membership Platform

Welcome to FreshXchange! These Terms of Service ("Terms") govern your access to and use of the FreshXchange membership platform, located at www.fresh-xchange.co.uk, and its related services ("Platform"), operated by FreshXchange UK Ltd ("we," "our," "us").

By registering for a membership, accessing buyer or supplier profiles, or using any part of the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using our Platform, you represent that you meet these requirements.

2. Accounts & Membership Plans

a) Account Registration

You must provide accurate and complete information when registering. You are responsible for safeguarding your login credentials.

b) Membership Tiers

We offer different membership levels:

• Free Account: Basic registration with limited access
• Profile Unlock: One-time access to individual buyer profile (£1.99 each)
• Premium Farmer Plan: Unlimited access to all buyer profiles at £49/month or £499/year
• EU Buyer Plan: Free access to supplier profiles; optional paid services available

We reserve the right to change, suspend, or discontinue any membership plans at any time, with notice.

3. Platform Services

a) Contact Directory

Paid members may access verified contact information for buyers or suppliers depending on their plan.

b) Value-Added Services

The following services are offered at fixed rates:

• Credit Profile Report – £49
• Debt Collection Service – £299 (1 included per Premium membership)
• Produce Verification – £99
• SGS Inspection Coordination – £199
• Freight Handling – Custom quotation

Services may be performed by third-party providers, and FreshXchange acts as a facilitator only.

4. Payments & Billing

All payments are securely processed via Stripe through our integration with Memberstack. Subscription fees will auto-renew unless canceled. You may cancel your plan at any time through your account dashboard.

Refunds: Due to the nature of digital access, no refunds are issued once data is accessed or services are triggered.

5. Data & Confidentiality

You agree not to share, resell, scrape, or misuse contact data accessed through the Platform. Doing so will result in account suspension and potential legal action.

6. Use Restrictions

You may not:

• Impersonate another user or misrepresent your affiliation
• Use automation to access or extract content
• Violate local, national, or international laws in your use of the Platform

7. Termination

We may suspend or terminate your account at our discretion if you breach these Terms, engage in fraud, misuse data, or violate platform rules.

8. Disclaimers

FreshXchange makes no guarantees regarding the outcome of any business interaction resulting from the Platform. All contact information is provided "as-is." We are not responsible for the conduct of buyers or sellers.

9. Limitation of Liability

To the maximum extent permitted by law, FreshXchange shall not be liable for any indirect, incidental, or consequential damages arising from use of the Platform.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of London, UK.

11. Changes to Terms

We reserve the right to update these Terms at any time. Continued use after updates constitutes your acceptance of the revised Terms.
